Recorn Limited (“Recorn,” “we,” “us,” or “our”) welcomes you to its AI-powered platform that provides services including audio recording, transcription, summarization, and analysis (“Services”). By accessing or using the Services, you agree to these Terms and Conditions (“Terms”). If you do not agree, please refrain from using the Services.

1. Agreement and Updates

By using our Services, you accept these Terms. We may update these Terms occasionally, and material changes will be communicated through the App, website, or email. Continued use of the Services indicates acceptance of the updated Terms.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old.
  • Not reside in a country embargoed by the U.S. or EU.
  • Not appear on any restricted parties list.

By agreeing, you confirm compliance with these requirements.

3. Account Registration and Security

  • You must register to access certain features.
  • Provide accurate and updated information.
  • Use a strong, unique password and keep it secure.
  • Notify us immediately if you suspect unauthorized access to your account.

4. License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Services for personal and lawful purposes. This license does not transfer ownership of any intellectual property. Unauthorized commercial use or modification is prohibited.

5. User Content and Data

Ownership

You retain ownership of any content you submit to the Services, including recordings and transcriptions (“User Content”).

License to Use Content

By using the Services, you grant us a worldwide, royalty-free license to process, analyze, and improve our Services using your User Content.

  • You are responsible for ensuring compliance with applicable laws (e.g., notifying participants about recordings).
  • Refer to our Privacy Policy for data handling practices.

6. Prohibited Conduct

You agree not to:

  1. Violate any applicable laws or third-party rights.
  2. Upload content that is defamatory, obscene, or infringing.
  3. Attempt to reverse-engineer, hack, or disrupt the Services.
  4. Use the Services for spam, unauthorized advertising, or malicious activity.

Violations may result in suspension or termination of your account.

7. Payment, Subscriptions, and Refunds

Subscriptions

  • Paid plans auto-renew unless canceled.
  • Cancel anytime via the App Store, Play Store, or our website.

Free Trials

  • Free trials auto-renew into paid subscriptions unless canceled at least 24 hours before the trial ends.

Refunds

Payments are non-refundable, except as required by applicable law.

8. Modifications to the Services

We may modify, suspend, or discontinue Services or features at any time without liability. We may notify you in advance of significant changes when possible.

9. Intellectual Property

All materials, designs, and code used in the Services are owned by Recorn or its licensors. You may not copy, distribute, or create derivative works from our intellectual property without explicit permission.

10. Limitations of Liability

  • Recorn is not liable for indirect, incidental, or consequential damages.
  • Our liability is capped at the subscription amount you paid in the 12 months prior to the claim.

Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Dispute Resolution and Arbitration

Informal Resolution

Attempt to resolve disputes informally by contacting us at privacy@recorn.app.

Arbitration

Disputes not resolved informally will be subject to binding arbitration, waiving your right to a court trial. Arbitration will occur in [Location, e.g., Cyprus].

12. Governing Law

These Terms are governed by the laws of Cyprus and the EU, without regard to conflict of law principles.

13. Severability

If any provision is deemed unenforceable, the remaining provisions will remain in effect. Unenforceable provisions may be revised to reflect the original intent within legal boundaries.

  • These Terms constitute the entire agreement between you and Recorn.
